Terms of Service

These Terms of Service ("Agreement") govern your use of the Berekly platform ("Platform", "Service") provided by Bilgi Uzmanları E İş Çözümleri Ltd. Şti. ("Knowledge Experts", "KXP", "we", "us").

By using the Platform, you agree to these terms. If you do not agree, please do not use the Platform.

1. Definitions

• Platform: The web application accessible at berekly.com and related mobile applications
• User: Individuals or entities using the Platform
• Organization: Food banks, associations, foundations, or similar entities that create accounts on the Platform
• Beneficiary: Individuals who receive aid distributed by Organizations
• Service: All features and functions provided through the Platform

2. Scope of Service

2.1 Platform Features

• Beneficiary registration and management system
• Point-based aid distribution system (POS)
• Inventory and warehouse management
• Reporting and analytics tools
• User and role management
• Multi-organization support

2.2 Service Modifications

KXP may, with or without prior notice, modify Platform features, temporarily suspend service for maintenance, or restrict access for security reasons.

3. Account Creation and Security

• You must be at least 18 years old to create an account
• Information provided must be accurate and current
• Each user may only create one account
• You are responsible for maintaining the confidentiality of your account
• You are responsible for all activities under your account

4. Usage Rules

4.1 Acceptable Use

• Food banking and social aid activities
• Fair and dignified aid distribution to beneficiaries
• Operations compliant with legal regulations

4.2 Prohibited Use

• Actions threatening Platform security
• Unauthorized data access or collection attempts
• Uploading or distributing malware
• Entering false or misleading information
• Unauthorized access to others' accounts
• Commercial spam or advertising
• Intellectual property infringement

5. Intellectual Property

All intellectual property rights in the Platform (software, design, logos, text) belong to KXP. You retain ownership of content you upload, but grant us the necessary license to provide the Service.

7. Payment Terms

• Platform usage fees are determined by the selected plan
• Fees are invoiced in Turkish Lira (TRY) or applicable currency
• Payments must be made within 15 days of invoice date
• Full refund available within first 14 days for annual plans
• Monthly plans are non-refundable

8. Limitation of Liability

The Platform is provided "as is." KXP does not guarantee uninterrupted or error-free service. KXP's total liability is limited to the service fees paid in the last 12 months.

9. Indemnification

User agrees to indemnify KXP against all claims, damages, and expenses arising from violation of this Agreement, violation of laws, infringement of third-party rights, and claims arising from Platform use.

10. Agreement Modifications

KXP may modify this Agreement with prior notice. Significant changes will be notified at least 30 days in advance.

11. Termination

You may close your account at any time. KXP may immediately terminate your account for Agreement violations.

12. Dispute Resolution

• Governing Law: This Agreement is governed by the laws of the Republic of Turkey.
• Jurisdiction: Istanbul Courts and Enforcement Offices have exclusive jurisdiction over disputes.
• Amicable Resolution: Parties shall first attempt to resolve disputes amicably.

13. General Provisions

• Severability: If any provision is deemed invalid, other provisions remain in effect.
• Waiver: KXP's failure to exercise any right does not constitute a waiver.
• Assignment: You may not assign your rights without KXP's written consent.
